Terms of Service

Welcome to Stationly ("Stationly," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Stationly web application, APIs, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility & accounts

You must be at least 18 years old and legally able to enter into contracts. You are responsible for everything that happens under your account, including activity by teammates you invite. Keep your credentials confidential and notify us immediately if you suspect unauthorized access.

2. Your restaurant data

You retain all rights to the data you upload, import, or generate in Stationly — menus, recipes, sales records, staff records, inspection logs, customer information, and similar ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to operate and improve the Service for you.

We do not sell your Customer Data. We do not use your Customer Data to train machine-learning models that are shared with other customers.

3. Acceptable use

You will not: (a) reverse-engineer or attempt to access source code of the Service; (b) use the Service to violate law or the rights of others; (c) upload malware or attempt to disrupt the Service; (d) resell the Service without written permission; (e) use the Service to store data you are not authorized to possess (including health records of individuals who have not consented).

4. Plans, trials, and billing

Stationly offers a 14-day free trial. After the trial ends, continued use requires an active paid subscription. Subscriptions auto-renew at the end of each billing period unless canceled. Fees are billed through Stripe; refunds are at our discretion except where required by law.

We may change pricing with at least 30 days' notice before your next renewal.

5. Tenant roles & invitations

Each restaurant on Stationly is a separate "tenant." The user who creates a tenant is its initial Owner and is responsible for the tenant's data and users. Owners and managers may invite others to their tenant; invited users agree to these Terms when they accept an invitation.

6. Third-party integrations

Stationly integrates with third-party services such as POS providers, Stripe, and email delivery tools. Your use of those integrations is subject to the respective providers' terms and privacy policies. We are not responsible for third-party service availability, errors, or data handling.

7. No warranty for regulatory compliance

Stationly is an operational tool that helps you track inspections, licenses, food-safety logs, and related items. We provide templates and checklists to assist you, but we do not guarantee that use of the Service alone will make your business compliant with any specific regulation (for example, FDA Food Code, FL DBPR rules, OSHA, local health codes, or labor law). You remain solely responsible for operating a compliant restaurant.

8. Service availability

We aim for high uptime but do not guarantee the Service will be uninterrupted or error-free. We may perform scheduled maintenance and may suspend access to protect the Service or other customers.

9. Termination

You may cancel your subscription at any time through the customer portal. We may suspend or terminate your account for breach of these Terms, non-payment, or extended inactivity. Upon termination, we will make your Customer Data available for export for 30 days, after which we may permanently delete it.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESTOPS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You will indemnify and hold us harmless from any claims arising from your Customer Data, your use of the Service in violation of these Terms, or your violation of third-party rights.

13. Governing law

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws principles. Any disputes will be resolved in the state or federal courts located in Orange County, Florida.

14. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
